NUTT AUCTION COMPANY, LLC – BIDDER TERMS & CONDITIONS

These Bidder Terms and Conditions (“Terms”) apply to auctions conducted by NUTT AUCTION COMPANY, LLC(“Auctioneer”) and constitute a legal, valid, binding, and enforceable contract between Auctioneer and YOU, the registered bidder (“Buyer”). By registering to bid, placing a bid, or attending the auction location, YOU acknowledge that YOU have read, understand, and agree to these Terms, as well as any additional terms posted by Auctioneer or announced during the auction.

Together with any written purchase and sale agreement between YOU and the Seller of any Lot, these Terms form the contract of sale between YOU and the Seller if YOU are the Winning Bidder on any Lot.

Auction Location, Dates & Schedule

Auction Ends: Friday, September 19, 2025 @ 2:00 PM (soft close)
Buyer’s Premium: 10%
Pickup: Monday, September 22 from 9am- 1pm or by appointment after this date 
ALL ITEMS MUST BE REMOVED BY: Friday,October 3, 2025 @ 4:00 PM. NO EXCEPTIONS.

General Terms of Sale

• All items sell AS IS, WHERE IS, WITH ALL FAULTS without warranties or guarantees of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose.

• Auctioneer acts solely as agent for the Seller. Any disputes regarding title, condition, or use of an item are strictly between Buyer and Seller.

• Auction is conducted in accordance with Texas law and all applicable federal, state, and local laws.

Buyer’s Premium & Sales Tax

• A 10% Buyer’s Premium is added to the high bid to determine the total purchase price.

• Arkansas state sales tax of 6.75% applies to all non titled inventory unless Buyer provides a valid resale or exemption certificate before checkout.

Payment Terms

• Payment is due in full by Monday, September 22, 2025 @ 2:00 PM (CST).

• Accepted forms of payment: Cash, Wire Transfer, or Check (from known buyers).

• If payment is not received by deadline, Buyer authorizes Auctioneer to charge the credit card on file for the full invoice balance, including buyer’s premium and tax.

• All sales are final. No refunds, returns, or exchanges.

Credit Card Authorization & Chargeback Policy

By registering and bidding, YOU authorize Auctioneer to charge your credit card for any unpaid balance. YOU expressly waive any right to initiate a chargeback for dissatisfaction, disputes, missed pickup, or buyer’s remorse. If a chargeback is filed, YOU agree to reimburse Auctioneer for the disputed amount, legal costs, attorney’s fees, and penalties.

Item Removal & Loadout

• All items must be removed no later than Friday, October 3, 2025 @ 4:00 PM.

• Buyers are solely responsible for loadout, including labor, tools, rigging, forklifts, or other equipment required.

• Auctioneer will not provide equipment, staff, or assistance for loading.

• Any damage to property or premises during removal is the sole responsibility of Buyer.

• Items not removed by the deadline may be forfeited without refund, and storage or disposal fees may apply.

Indemnification, Release & Liability Waiver

• By registering, bidding, attending the auction site, or removing items, YOU acknowledge and agree that:

1. Assumption of Risk: YOU enter the auction premises and participate at YOUR own risk. The premises may contain equipment, tools, or materials that pose hazards including sharp objects, trip hazards, moving equipment, electrical exposure, pressurized cylinders, heavy machinery, and other dangerous conditions.

2. Waiver of Liability: NUTT AUCTION COMPANY, LLC, the Seller, and their officers, employees, and agents shall not be liable for any injury, illness, loss, accident, or death occurring on the auction premises or during pickup/removal of items, regardless of cause, including negligence.

3. Indemnification: YOU agree to fully indemnify, defend, and hold harmless Auctioneer, Seller, and their affiliates from any and all claims, damages, costs, losses, expenses, or liabilities (including attorney’s fees) arising out of or related to YOUR presence on the premises, participation in the auction, or removal/transport of purchased items.

4. Children & Visitors: No children under 18 or unauthorized persons are allowed on the premises during preview or removal. Buyers are responsible for ensuring their guests, employees, or agents comply with this waiver.

5. Public Health Risks: By attending, YOU assume all risk of exposure to contagious illnesses, viruses, or public health hazards and waive any claims against Auctioneer related to such exposure.

Force Majeure

Auctioneer shall not be held liable for any delay, cancellation, or failure to perform caused by natural disasters, fire, flood, pandemics, government orders, terrorism, strikes, equipment failure, or other causes beyond its control. Auctioneer reserves the right to reschedule, extend, or cancel the auction.

Governing Law & Jurisdiction

• These Terms are governed by the laws of the State of Texas.

• Any disputes shall be resolved exclusively in the state or federal courts of Bowie County, Texas.

• Jury trial is expressly waived.

Additional Standard Terms

• Auctioneer and staff reserve the right to bid.

• All bids are final and irrevocable.

• Auctioneer is not responsible for technology failures, outages, or bidding platform errors.

• Auctioneer has sole authority to resolve disputes and determine winning bids.

• Buyers agree not to enter private sales for auction items.

• Auctioneer may record or photograph activities at the auction site; participation constitutes consent.

• Buyers consent to receive invoices and communications by email or text.
